It is the high time for putting out effective solution on the inside governance of public universities in our country. The huge task of public university facing and for sake of the students calculating is to strengthen the university internal governance, find out a clear and effective way of modern university governance. Consequently, the main problems hindering the development of University are as follows: inadequate supervision; unbalanced structure of academic right and administrative power, as there concerns cross interests and competing for resources; uncompleted system for president selection and lack of protection for students rights.This paper selects the internal governance structure of University as the research object, aiming at the public university internal problems, according to the current situation and background, to put forward the feasible countermeasure, respectively. Finding out the academic hindrance by using the equilibrium model analysis. Referring to the organization management theory Barnard's outstanding reflection of human nature, from the perspective of internal organization rights incentive to solve the problem of imbalance. Using the core of Barnard's organization management theory, motivation, to solve the internal imbalances between the academic right and administrative power, promote them to corporate and endeavor for the final goal of the university. The use of Greenfield's education management organization theory definition of scientific management do make contribution on the design of the regulations, selection of presidents and the protection on students' rights. Moreover, this passage includes variety of inference from overbroad university governance. This passage focus on solving the balance between different rights inside the public university and further optimized of the leadership of the Party committee, management of president, academic power of professors and democratic participation of students, bringing up completed and scientific institution of decision making, harmony development between academic rights and administrative power, promoting the influential role on education of the president of the universities, open and effective selection method of president, fair and transparent way of Performance assessment, be a positive role that promoting the whole development of higher education.
