A key goal of listing Corporation equity incentive is to solve be tween the shareholders of the listing Corporation and the management, the operator and the staff due to the principal-agent problem caused by different objectives, the establishment of a community of interes ts between s hareholders and executives, em ployees, to help companies retain talent, to maintain the vitality and competitiveness of enterprises. In twentieth Century 80, the equity incentive theory originated in the America, less than half a century of ti me in m ost of the countries in the world economy and area, effectively enhance the com pany's performance and com petitiveness, to relieve th e contradiction between the power of attorn ey of modern system of the Enterprise Inc and the power of attorney.In contrast, equity incentive mechanism in China started late, early by their own conditions and external environm ent and facilities, experience, developm ent and implementation effect of the equity incentiv e mechanism in our country is not very ideal, encountered many difficulties and obstacles. After the 2001 China's accession to the WTO, foreign en terprises gradually settled in the do mestic market, domestic listing Corporation are facing the d ual pressures of dom estic and foreign m arkets, competition and the impact of enterprises is becoming more and more intense, how to retain the core of talent, how to attract potential talent has become the key problem urgently to be solved b y the listing Corporation, what kind of incentives to sta ble people gradually become the core of m any listing Corporati on urgent research. Especially for the GEM Listing Corporati on, serious s cale than th e state owned enterprises, under the influence of traditional ideas, to attract and retain the core of talent ability is weak, the com pound talent, theoretical research and practice of this kind of environment to strengthen the GE M Listing Corporation equity incentive is particularly important.This paper takes the WS com pany as th e case of the gem equity incen tive implementation status of the listing Corporat ion, the related theory, equity incentive research literature at ho me and abroad were summarized, as the theoretical basis o f the analysis of actual case; and then focuse s on the analysis of the equity incentive plan of W S company's plan and implem entation effect, according to the staf f the investigation, interview results, the WS, the implementation of equity incentive effect is relatively ideal, in the performance of the company, incentive, market reaction and so on to b e able to s ee some results. However, it is u ndeniable that th e equity incentive plan still exist many shortcomings, the author thinks that we should improve the internal structure of the system, improve the system, optim ize the ex ternal environment of equity incentive three as pects of reference, further optim ize the implementation of the program, and push forw ard legislation of e quity incentive, to promote the WS company equity incentive to achieve more ideal effect.
