Under the background of the multi-level capital market and as the first listed companies of the unit mobile Internet of the new third board, the Dodoca offering short MMS-based mobile applications and mobile information solutions for the main source of income initially. With the rapid spreading of the micro blogging, letter and other mobile social media and the Ministry of Industry increases the messaging service governance, which can promote mobile social media becoming a new carrier of enterprise mobile information services. The Dodoca startes to engage in mobile social marketing, by quickly promoting their products, the accumulation of customers, building brand quickly, which can seize the market, transferring the traditional marketing to the mobile Internet marketing. The weiba information is a mobile Internet companies the first to join the micro-channel public platform. Through micro letter and other mobile social networking platforms to provide integrated solutions for businesses and online and offline synchronization operations as well as business development of Internet marketing. Currently the mobile Internet marketing market is in a great demand, Dodoca and weiba information belonging to the same customer industries and enterprises, on their products. Because of differences in advantages, the Dodoca intends to propose merger to complete the cooperation, which can achieve synergy.This article adopt the pattern of the theoretical foundation and the case research. The first we review the relevant research at domestic and abroad, describing the theory foundation of the new third board corporate mergers and acquisitions and the development status under the multi-level capital market. Then we describe basic introduction of the M&A. By comparing the differences of Dodoca and weiba information's products to analyze the motives of mergers and acquisitions. Then we can analyze the process of M&A, contradictory interests of M&A process that happened and how to solve and analyze risk of the process. Then analyze the Dodoca after merging through its financial indicators, market share and stock price changes. Finally we can introduce enlightenment and reference that merger brings. Through mergers and acquisitions, the Dodoca can merge the main business of the weiba information. From the new third board listed companies point of view to analyze the process of mergers and acquisitions, which can enrich the cases of company's M&A. It can not only enrich the multi-level capital market, but also provide us inspiration, improving the success rate of mergers and acquisitions to promote upgrade of the new third board business.
