An Analysys Of Stock-for-stock M&A By Listed Companies On GEM

This paper analyzes the acquisition status of companies listed on GEM, as well as factors of decision-making issues in the M & A cases, involving the willingness of both parties, financial situation, decision-making power etc. Also I discuss the valuation model, the exchange ratio and disclosure issues.I provide theoretical discussions of these issues as well as empirical evidence based on the case-LeTV using cash and equity for 100% equity of HUAER Entertainment Media and 99.5% equity of LeTV New Media. I give detailed analysis of valuation issue using valuation models and subject of the transaction using different valuation methods were assessed valuation categories.
