Research On The Legal Issues Of Employee Stock Ownership In The Mixed Reform Of State-owned Enterprises

Employee stock ownership system in the United States since the rise in 1950 s,in the practice of many western countries have produced good economic and social benefits.China's practice of employee stock ownership is accompanied by the reform of state-owned enterprises and more than thirty years,with a number of controversial issues,was halted until the third Plenary Session of the 18 th CPC Central Committee,proposed mixed ownership economy allows companies to implement ESOP,to form a community of interests of capital owners and workers,ESOP is starting again.Under the background of the mixed ownership reform of state owned enterprises,the study of employee stock ownership system has certain theoretical research value and practical guiding significance.In addition to the introduction and conclusion,this paper is divided into four parts.The first part is an overview of the ESOP,ESOP concept,characteristics,theoretical basis,the two countries practice are summarized;the second part is the new development in the reform of state-owned enterprises of mixed ESOP,first introduced the state-owned enterprises of mixed ownership reform background,then discusses the mixed ownership ESOP the significance of the reform of state-owned enterprises,finally elaborated the new idea of the current round of esop.The third part is about the problems of employee stock ownership system in the state-owned enterprise reform,and points out that the current system of employee stock ownership in China is not perfect,the supporting policies are not perfect,and there are some disadvantages in the shareholding system.The fourth part is the reform of state-owned enterprises in the ESOP system recommendations to improve the employee stock ownership legal system,supporting policies,such as the trust of specific recommendations.
