On The Protection System Of Creditors' Interests Under The Company's Capital Subscription System

To adapt to development of our market,and to fulfill the spirit of "public entrepreneurship,innovation",the "company law" has been revised in 2013.The capital system of the company has been changed a lot,which include the flowing: the legal capital system to subscription capital system,the abolition of the minimum registered capital cancel,the proportion of money invested and the investment period limit.In general,those changes make it easier for people to the set up a company,which can encourage innovation and improve the development of the market.Althoughthe reform has leaded to a prosperity of the market,it also made s serious of new problems in the protection of creditors.How to protect the interests of creditors after the reform of the company capital system has become an urgent problem,which will be discussed in this thesis.There are four parts in this thesis:In the first part,there is a review of the reform of the company's capital reform in our country.In the second part I analyze the bad effects to the protection of the creditors,which caused by the reform of the capital system,such as increasing the risk of the creditor,the company credit mark appearance was seriously weakened,the company of assets and liabilities is difficult to grasp.In the third part I analyze the defects of the protection system of creditors in our country.In the fourth part,I give some suggestions for the problems.Such as,to improve the company's information disclosure system,to improve the system of corporate personality denial of the proposed system and to improve the directors,executives of the responsibility system recommendations.
