Research On The Legal Issues Of The Protection Of The Rights Of Minority Shareholders In China

The Corporate Law of People's Republic of China borrows from relevant corporate system stipulated in common law system,and in accordance with the idea of balance of rights governing modern corporate law,offers protection of rights of small and medium shareholders.In fact,however,phenomena of infringement on rights of small and medium shareholders within a company keep emerging.Concentration of rights becomes a prominent problem,leading to the severe imbalance of rights between big and minority shareholders.Therefore,the key to protecting rights of minority shareholders lies in restricting rights of big shareholders as well as improving laws and regulations about protection of rights of minority shareholders.The Corporate Law of People's Republic of China needs to be further improved in areas of protection of minority shareholders.Combining relevant theory study such as those of management,law and sociology,applying comparative and empirical analysis,this essay presents the issue of protection of rights of minority shareholders in five parts: first,giving definition of relevant concepts and thus introducing principles and legal basis involving protection of rights of minority shareholders;second,demonstrating status quo of infringement problem and analyzing the cau ses;third,analyzing current China's corporate law and figuring out what needs to be improved,;four,giving suggestions on improvement of relevant legal system.
