Insider trading of securities is a securities fraud with greater probability to occur,in order to punish this behavior,the law of our country have a relatively well-developed system in terms of administration and criminal matters.However,the civil legislation has no corresponding standard for insider dealing and civil liability,in the long term,the motivation for securities investors is will be hardly hit.It is not healthy to the development of the securities market.So,in order to protect the interests of investors and maintain the stability of the securities market,it is very important to regulate the civil liability of insider trading of securities.This paper starts from three practical cases of civil compensation for insider trading in our country,analyzing the trial process and the trial result.Feeling the development of China's securities civil liability system,and also pointing out the shortcomings of the civil liability regulation in China.Secondly,based on the definition of insider trading,analyzing and discussing the nature of civil liability for insider trading and the principle of imputation of civil liability in securities insider trading.Once again,analyzing and examining the civil liability of securities trading from the comparative law,in order to draw lessons from domestic and foreign relevant theory,provide theoretical and legislative guidance for the analysis and improvement of civil liability in securities insider trading.At last,based on the actual situation of our country,analyzing and pointing out the problems in the civil liability of insider trading.Analyzing specifically from the subject of civil liability for insider trading securities,the judgment of fault,the causality and the scope of compensation damage,and then putting forward a resolving way.
