Research On The Shareholder Delisting System Of China's Limited Liability Company

In the daily operation of the company,conflicts and contradictions inevitably occur between shareholders,which will affect the company's personal nature and stable structure.In order to maintain the integrity and stability of the company,the system of shareholder's expulsion is the relief for shareholders.However,the shareholder's expulsion system has not been fully studied in our country.Company Law has not clearly defined the expulsion system.Although The Third Judicial Interpretation has specified the special circumstances of the expulsion Rules.This paper makes a systematic study and analysis of the shareholders' expulsion system and puts forward Suggestions to improve the system of expulsion in China.This paper is divided into four chapters: The first chapter is the basic theory of shareholder's expulsion system.By shareholder expulsion system differs from other shareholder exit mechanism,according to the theory of firm contract theory,community autonomy,shareholders' duty of loyalty for the theoretical support,analysis on the necessity of the shareholder expulsion system in our country.The second chapter introduces the expulsion system of Germany,USA and Japan.By introducing the applicable objects and causes,the way of expulsion,the legal consequences,we can draw the enlightenment to the expulsion system of our country.By introducing the applicable objects and causes,the way of expulsion,the legal consequences,we can draw the enlightenment to the expulsion system of our country.The third chapter is to introduce the shareholder's expulsion system in our country to analyze the problems of our shareholders.The fourth chapter is to improve the shareholders of China's limited liability company by means of division,procedure,legal consequence and interest protection.
