Research On The Equity Inheritance System Of Limited Liability Company

The share of the limited liability company is composed of all shareholders,the death of a natural person shareholder,equity inheritance will happen,how to balance the relationship between personal interests and the interests of the company is worth exploring,so the limited equity inheritance system has received great attention.At present,there are different voices about the succession of stock rights in limited liability companies,but they all respect the principle of autonomy of will,and each country has embodied different value tendencies in its own legislation.Although the nature of equity has always been controversial,but there is no property ownership both personal rights and property rights question,we believe that the equity can be inherited,and we should be based on the nature of equity and combine with the reality of our country to develop a series of effective systems and measures.Based on the current legislation in China's "company law" on the equity inheritance in limited liability company,comparative analysis of relevant foreign legislation and legislation of our country,analyzes China's current "company law" in the equity inheritance of limited liability company system problems,and puts forward some improvement suggestions.This paper from the system status quo,illustrates China's implementation of the system of the limited liability company statute;further from the angle of legislation of our limited liability company equity inheritance problem analysis;on the basis of the in-depth study of the current China limited liability company equity following some prominent problems existing in the system for,but also elaborated,study and reference to the relevant laws and regulations of foreign countries,finally puts forward the Optimization Countermeasures of our limited liability company equity inheritance system.It is hoped that through this study,we can improve the system of the limited liability company and help the healthy and long-term development of the socialist market economy.
