Connected transactions, which has its particularity, have been widely exists in the listed company. On the one hand, it can bring scale effect for listed companies, save transaction cost; On the other hand, it is also the methods to achieve some kind of illegitimate means for the listed companies Unfair connected transactions not only unfavorable to the development of the securities market, also can damage the interests of the itself. A Insurance Group Company is a listed company to provide integrated financial services. A Insurance Group Company has numerous subsidiaries which involve insurance,banking, investment and other industries and its governance structure and regulatory environment are complex. Therefore, based on A Insurance Group Company as the research object, this article studied the current situation of internal control, the critical success factors and the problems facing of connected transactions of A Insurance Group Company, which has a certain practical significance.This article used the literature research to summarize and review the the basic concept and theory of connected transactions and corporate internal control, and built the research framework. Secondly, using the case method to study, analyse and evaluate the status of connected transactions under internal and external environment, the internal control status quo of connected transactions, analysis and assessment. On this basis, this article analyse the key factors and the existing problems of connected transactions and the internal control of A Insurance Group Company. Finally, based on the analysis of key factors and problems come to the conclusion that A Insurance Group Company need to further standardize its connected transactions, and on the basis of the theory of enterprise internal control basic elements,proposed strategies and suggestions of further standardizing the company's connected transactions and hope have some reference value to A Insurance Group Company and other listed companies on the internal control of connected transactions.
