M&A is an important part of modern economic activities of enterprises self-sustainable development which is an important aspect of the development of enterprises in the market economy of capital management.Through mergers and acquisitions,companies can effectively optimize the allocation of resources,expand production scale,to achieve the effect of integration and synergy,reduce transaction costs,maximize value purposes..But M&A activity is a double-edged sword,it will bring challenges and improve the administrative costs of management to the enterprise.The study of risk management and control of mergers and acquisitions can reduce the likelihood of risk occurrence and address the risks that may occur timely and effectively,while avoiding disadvantages to enable enterprises to effectively reduce losses and ensure the sound and healthy development of the enterprise therefore.The paper is based on the story of CSR Zhuzhou Electric Co.,Ltd.(hereinafter referred to as CSR),through the Jinfeng Jiangsu Wind Power Equipment Co.,Ltd.(hereinafter referred to as Jinfeng Jiangsu)direct-drive permanent magnet synchronous wind turbine manufacturing machine-related assets and Jinfeng Inner Mongolia Science and Technology Co.,Based on the successful experience of 80%stake acquisition in Jinfeng Inner Mongolia in 2013.Through analyzing the risks encountered in M&A and the experience of risk control in M&A process of wind turbine project,and exploreing and analyzing each stage of M&,we can take specific risk control measures for the specific mechanisms and aspects of the development of appropriate risk.Through targeted risk control measures to ensure that the company's wind turbine project M&A compliance,orderly,the company achieved a complete machine manufacturers to wind turbines changes,but also for the healthy development of the company after the merger to lay down a solid Foundation.I hope to provide some useful suggestion for the similar activity of state-owned enterprises.
