Since the 1990 s,various types of enterprises at domestic and overseas in the merger were widely used in mergers and acquisitions,and this acquisition has gradually become a listed company for asset reorganization and integration,expanding the field of an important industry way.Convertible equity mergers are merged by way of equity swaps,so there is no need to acquire equity through cash payments,which avoids the large cash outflows and other financial costs associated with the transaction process,it improves the success ratio,and then for the company through low-cost expansion,it provides a greater possibility.In addition,the merger and acquisitions for the mergers and acquisitions improves the share of capital structure,the total share capital in the proportion of outstanding shares have certain advantages,and thus the healthy development of the company have a certain role in promoting long-term.Therefore,the study of mergers and mergers of convertible shares of China's capital market development and strategic expansion of enterprises have very important significance.This paper takes the example of Xincheng Holding Group merged Jiangsu Xincheng Real Estate to study.Through the analysis of the reasons for the merger and merger of Xincheng Holding Convertible and Jiangsu New City,the convertible price and convertible ratio,the cash option mechanism and the effect of the merger and merger of the convertible shares on the two sides are analyzed.Finally,the conclusions and recommendations are summarized.It is hoped that the analysis of the related issues such as the price of convertible shares and the proportion of convertible shares can provide some reference for M & A in the future and make the M & A play a positive role in the economic development of our country.
