With the development of the times,the separation of ownership and management right in corporate governance has created the traditional principal-agent problem.The equity incentive plan is a powerful tool to solve this outstanding problem.By giving the management and the core technical personnel as the agent of the company,A certain shareholder rights,so that agents and clients as the interests of corporate owners tend to be consistent.This paper analyzes and evaluates the four-year equity incentive plan of 2009,2011,2012 and 2014,which is carried out by Qingdao Haier.It introduces the amount of incentive object,the amount of stock,the exercise period and the number of feasible shares.This paper analyzes and evaluates the effect of the equity incentive plan,and summarizes the relevant experience of the equity incentive plan and points out the matters that should be paid attention to in the equity incentive plan.This paper is divided into six parts: the introduction of the basic theory of equity incentive plan,Qingdao Haier equity incentive program case background,program design and implementation process,effect and success reasons analysis and case revelation.The first part introduces the research background and research significance of the case and summarizes and reviews the relevant literature.The second part introduces the basic theory of equity incentive plan.The third part introduces the background of the case,introduces the background of the implementation of the equity incentive plan of Qingdao Haier and analyzes the necessity of its implementation.The fourth part analyzes the specific elements of Qingdao Haier equity incentive plan and how to carry out the implementation control.The fifth part mainly introduces the effect of Qingdao Haier equity incentive plan and analyzes the reason of its success.The sixth part introduces the inspiration from the case of Qingdao Haier equity incentive plan and points out the matters that should be paid attention to in this case.Qingdao Haier implementation of the equity incentive plan,without external factors,the company's share price is basically an upward trend,the company's earnings indicators are also increasing year by year,showing equity incentive plan on the value of Qingdao Haier company has a positive impact,Is successful.We can from the successful implementation of the Qingdao Haier equity incentive plan,summed up the relevant experience for the company after the reference,at the same time,Qingdao Haier equity incentive plan in the object selection and performance indicators assessment issues also worthy of attention.
