Study On Public Welfare In China's State-owned Enterprises To Define And Governance

This article is divided into four parts to discuss the definition and governance model of public welfare state-owned enterprises in China.The first part:the definition of state-owned enterprises in China.This part first starts from the concept of state-owned enterprises in China,and draws the concept of public-interest state-owned enterprises through reference to relevant views.Secondly,through the policy basis and viewpoints of the state-owned enterprises of public welfare,the basic characteristics of the public enterprises are summarized,and the basic characteristics of the state-owned enterprises are discussed.Thirdly,from the industry to define the start,compared to the foreign state-owned enterprises outside the industry,to study the domestic local state-owned enterprise classification practices,try to China's public sector of state-owned enterprises to carry out specific examples of industry.The second part:the practice of China's state-owned enterprise governance and its existing problems.This part of the content from the current legislation in China,the proposed state-owned enterprises in China's legislation has not been carried out from the functional classification of the status quo and its disadvantages.And then from the theoretical point of view of the functional distinction between the results of the study,the policy level of clear thinking and practical needs,successful practice outside the point of view,it is necessary to distinguish between the regulation of public welfare state-owned enterprises and non-public enterprises.The third part:the foreign experience and the reference to our country.In this part,the author chooses the five countries of France,Germany,Japan,Korea and Anglo-American law system which have representative civil law system,and sorted out the legal regulation and governance mode of the state-owned enterprises of these five countries.And generalize its common for our public welfare state-owned enterprises for reference.The fourth part:thinking on the governance mode of public welfare state-owned enterprises in our country.This part is the author in this article focused on.The author puts forward the corresponding detailed suggestions on the existing shortcomings put forward in the third part from the existing policies on the requirements of the governance model of the state-owned enterprises of the public interest,with particular emphasis on the composition of the board of directors,the board of supervisors and the managers,the relationship between the independence,the relationship with other organizations,and the selection of executives,the incentive of executives,and the establishment of targeted performance appraisal system.Based on this,and then discuss the difference between the public welfare state-owned enterprise governance model and the general corporate governance model generally.
