The information disclosure of listed companies is an important component of the securities market,and the compliance and effective information disclosure will continue to promote and perfect the development of the securities market.Since the establishment of Shanghai Stock Exchange and Shenzhen Stock Exchange,information disclosure of listed companies in our country has obtained certain achievement with constant innovation and development in 20years.However,compared with mature capital market such as Europe and America,there is still a big gap,which it need to focus on in the future development of China's securities market.In recent years,there is more and more disclosure violations and type of listed company information in our country.The article analysis that the violation of information disclosure mainly present the information disclosure of listed company and imperfect of regulatory supervision means and measures by analysis and research on information disclosure violation type and reason of listed company from Shanghai Stock Exchange and Shenzhen Stock Exchange.The internal information disclosure of listed company is mainly that disclosure of information integrity,authenticity,timeliness three big problems.The imperfect regulator means and measures reflect that ideas of supervision still require change and unreasonable regulatory permission configuration and regulatory measures investigation and punishment remains to be further strengthened.On the basis of violation problems and reason analysis of information disclosure of listed company in our country,this article selects the DB pharmaceutical information disclosure violations as a case study,starting from the appearance of the DB pharmaceutical information disclosure violations,and study its the reason behind,dig up the DB pharmaceutical in imperfect internal governance,Director,Supervisor and higher management not diligently,supervision,to strengthen,and many other problems.Through the analysis of the DB pharmaceutical information disclosure violations,reflect the defects in the aspect of information disclosure of listed companies in our country,and regulators in the lack of regulation mode.Finally,this paper based on the above research institute finds that the problems and reasons,put forward some countermeasures and Suggestions of perfecting our country's information disclosure of listed companies,mainly from two aspects of the listed company internal and regulatory,further promote and perfect the development of the information disclosure of listed companies in our country.
