In our country,a the delisting system of listed company was founded in 1993,the company law.After more than 20 years of development in our country securities market exit mechanism is perfect.Violations of the rights and interests of small and medium-sized investors,however,our country market events still occur,especially in the process of delisting of listed companies,this kind of phenomenon is more serious.Medium and small investors in listed companies in the process of delisting of complete system,legal protection and afterwards salved appeal is stronger.In this paper,the delisting system,delisting standards at home and abroad,analyzes and compares delisting procedures such as draw the similarities and differences between different countries on the delisting system design,through the analysis found that the delisting system in China and abroad the delisting system compared with the standard is not enough diversity,problems in the actual operation level,lack of execution efficiency,and other laws and regulations of the forthcoming enough.From * ST conjunction yuanhe longtop two specific cases,it is concluded that at present our country by using the method of comparative analysis in the process of delisting of listed companies of medium and small investors rights and interests safeguard of some defects and deficiencies.Deficiencies in advance regulatory system is not perfect;Things processing efficiency is low,the processing time long;Medium and small investors’ rights slam shut,recovery mechanism.Combine foreign experience and domestic situation,this paper argues that wanted to delisting of listed companies in medium and small investors rights and interests protection,from the legal level,regulation level,investors to improve and supplement their own level,set up a series of compensation system,delisting of listed companies in order to protect the rights and interests of small and medium-sized investors.
