Equity incentive mechanism in the United States since the 1950 s,at present is considered to be one of the most effective incentive mechanism of enterprises.Equity incentive is a kind of long-term incentive mechanism,can be highly unified enterprise managers and the interests of the owners,make employees to participate in the enterprise surplus distribution,thus effectively avoid the brain drain,improve work efficiency,ensure enterprise benign operation.However non-listed companies,especially the limited liability company’s equity incentive is subject to public information,policies and regulations,and other factors,for the market know success does not see more,it remains to be further research and practice.From 2011 to 2020,according to the central national institution classification reform plan,a large number of new small and medium-sized private enterprises will be produced in the institutions of the restructuring.Equity incentive of this company has its particularity and complexity,it’s different from general enterprise internal and external environment,after the reform of administrative function,the social division of labor will happen very big change,such as transformation of old and new,must have certain adaptation period,will be facing a brain drain of different level,operational risk,the value orientation deviation,internal systems and mechanisms,market positioning,financing and staff interests safeguard and so on a series of problems.How to equity incentive as a breakthrough point,perfect the internal mechanism,reduce the brain drain,the successful completion of transfer institution reform,guarantee the inheritance and development of national resources to the greatest extent,will become the new task.Change by the institution,this study selected as a limited liability company-K company as the research object.Company’s overall incentive mechanism based on K and in-depth analysis of the implementation of equity incentive environment,combining with the development and trend of modern enterprise management,at thesame time study in K company equity incentive system design constraints,from multiple levels to explore the core of restructured enterprises employee equity incentive plan design,formation of restructured enterprises efficient management system,enhance the competitiveness of enterprises has profound practical significance.
