In recent years,the number of mergers and acquisitions event in China's Internet industry continues to rise and the amount involved in those events has been increasing year by year.The entire Internet industry is in a high tide of mergers and acquisitions.Enterprises in this industry attempt to continuously expand their business scope,enhance the management and accelerate their own external growth through M&A.However,M&A is risky,failures are not rare in M&A events in recent years.The key to the success or failure of M&A is the realization of merger synergies.It is of great theoretical and practical significance for us to understand the synergistic effect,identify the synergistic factors and improve the synergy effect.Firstly,the paper illustrates the background and significance of this topic,and systematically reviews and summarizes the domestic and international researching achievements of M&A.Then it demonstrates the definition and classification of M&A and synergy,as well as the motivation of M & A activities,then summarized and induced the connotation of synergy effect,the form of expression and the evaluation methods.At the same time,it summarizes the current situation and problems of the Internet video market in the Internet industry,this paper summarizes the motives and characteristics of M&A of online video companies,for the latter case analysis to do the groundwork.On the basis of industry and theoretical analysis,Combined with Let.com as a case of mergers and acquisitions flower films,and this paper makes a detailed analysis and evaluation on whether the merger and acquisition can obtain synergy effect from three aspects of management synergy,management synergy and financial synergy.Finally,through the previous theoretical research and case studies,this paper expounds the conclusions drawn from the research of synergy effect,summarizes the experience and Enlightenment of the merger and acquisition,and puts forward some suggestions.In addition,point out the limitations of the study and the shortcomings of the paper.According to the case of Let.com mergers and acquisitions flower films,from the Letv.com itself,the Internet video industry,the development trend of mergers and acquisitions at this stage of the country to analyze the contribution of mergers and acquisitions to the company,summarizes the following experience and enlightenment.First,M&A behavior is guided by core competence;Second,Letv.com mergers and acquisitions to promote corporate culture and brand integration;Third,Letv.com mergers and acquisitions to promote business model innovation;Fourth,pay attention to the integration of vertical M&A resources and realize the synergy of M&A.Enterprises should avoid blind expansion.In the preparatory period of the M&A strategy,we should make a plan for the future development of the enterprise,and evaluate the future of the merger and acquisition company and the value of the potential,at the same time,consider the development of enterprises at this stage,merger activity according to the enterprise's ability.And more attention should be paid to the comprehensive integration after M&A.Mergers and acquisitions in the short term will bring performance growth,enhance competitiveness,however,if we do not pay attention to the long-term integration of resources after the merger will lead to the failure of mergers and acquisitions.
