With the acceleration of the global economic integration processs,transnational manufacturing companies have accelerated the pace of entry into the market.It means that China's manufacturing industry is facing unprecedented opportunities and challenges.As an important means of resource allocation and external governance,Merger & Acquisition has gained wide recognition and attention in improving market share,reducing cost,diversifying investment risk and implementing diversification strategy.In the deep performance study on mergers and acquisitions,the point is evaluate M & A's behavior on the growth of corporate value has played a positive or negative role,whether to bring the profit maximization.It has been the focus of many experts,scholars and the industry.Machinery manufacturing industry is an important pillar industry,for the entire national economy to provide technical equipment.The level of development is one of the main signs of national industrialization.In China,the merger and acquisition of listed manufacturing companies is very frequent,so it is very meaningful to study the merger and acquisition of Listed Companies in machinery manufacturing industry.This paper chooses a case of mergers and acquisitions of a listed company in the machinery manufacturing industry,the acquisition of Nan Feng Ventilator Merging ZhongXing Energy Equipment,and conducts detailed performance analysis.Whether the study of mergers and acquisitions is conducive to improving corporate performance,mainly using three analytical methods.First of all,the use of event analysis to analyze the stock market to reflect the acquisition and whether the merger has affected the stock price changes.And to explore whether the occurrence of the incident to the enterprise to bring the benefits of a measure of the impact of M & A events on the value of the company.Then,this paper will explore whether the occurrence of the incident to the enterprise to bring the benefits of measuring the impact of M & A events on the value of the company.Secondly,the use of financial indicators,the use of corporate finance and accounting data for comparative analysis.By comparing the profitability,operational capacity,solvency and growth ability of listedcompanies before and after M & A to measure the intrinsic value of the change.Finally,the use of economic value added value method,by adjusting the company's net operating profit after tax and total capital to calculate the weighted average cost of capital.And then calculate the economic value added to evaluate the effective use of capital and the ability to create value for shareholders,reflecting the ultimate business objectives.
