Through overseas mergers and acquisitions,it could not only make up for the lack of domestic nonferrous metals resources,but more valuable thing is that we could accumulate international project management experience,open up overseas expansion roadfor China's non-ferrous metal enterprises.Overseas mergers and acquisitions are challenge as well as opportunitiesfor China's non-ferrous metal companies,it is an urgent problem for China Non-ferrous metals industry that how could we aim at the complexity of overseas M&A activities,analyze and evaluatesystematically its various risks and put forward the corresponding response measures,and thus to improve the success rate of overseas mergers and acquisitions.The paper takes overseas M&A project F of SDHJ Group as a concrete case to analyze,discuss and study on the theory and methods of non-ferrous metal enterprises overseas M&A project risk management deeply.In the phase of risk identification,this paper uses Delphi method and flow chart method to carry out risk identification,and divide the risk of identification according to the process of M&A project.In the phase of risk assessment,this paper uses the probability influence matrix analysis method to make a qualitatively analysis on the risk identification results,and then adopts the AHP to carry out the risk comprehensive evaluation,which reveals the probability and influence degree of all the risks.Combining the theoretical method of project quality control-Pareto analysis,the paper classifies risk identification and evaluation results with ABC,according to the importance degree.In the risk treatmentphase,aiming at the results of risk identification and risk evaluation,weput forward correspondingrisk response measures respectively.In the phase of risk monitoring,through the establishment of risk management organization structure,the design of project risk monitoring information communication process and monitoring tracking table of project risk,we make dynamic monitoring on the project risk,to ensure project risk management could achieve the desired goal.Through the study,the theories and methods on project risk management that being adopted in this paper are is effective and feasible.And it could provide similar project references for implementation process of overseas M&A projects of nonferrous metals enterprises on preventing and avoiding the risks that may exist,and guide the risk management of nonferrous metals enterprises to implement overseas M&A projects.
