The role of human resources as an intangible asset in the market competition is more and more prominent.Especially when the lack of management and technical talents becomes an important reason for the found that the two are not related or even negative correlation and other different conclusions.And the existing research is mainly macro-oriented,is in the background of the environment for all enterprises in general research,only a small amount of special research on high-tech industries,and other industries are mostly blank in the special study.Therefore,this paper uses the method of theoretical analysis and case analysis to analyze the employee stock ownership plan of Yinbang shares,and analyzes the cases from the process of Yinbang shares shareholding plan,the reasons and the reasons for its smooth implementation.The At the same time,further study of the performance changes of Yinbang shares and the impact of employee stock ownership on corporate governance structure after implementing the employee stock ownership plan.This paper draws the following conclusions:(1)The decline of operating results and the retention of the core talent are the main reasons for the
