Study On Risk Management Of G Company Merger And Acquisition Of KT Company

In recent years,with the continuous developing of China’s economy,more and more domestic enterprises have become bigger and stronger through investment and mergers and acquisitions.At the same time,the number of enterprises that have an impact on their survival and development due to blind mergers and acquisitions are rapidly increasing.The root of the failure of mergers and acquisitions lies in the risks contained and erupted in the M & A events.In the process of mergers and acquisitions,the enterprises pay too much attention to the economic benefits of the target enterprises,while neglect the potential risk factors of the target enterprises and the risk factors brought by the merger and acquisition.Therefore,for every M & A enterprise,M & A risk management is particularly important,and we should pay more attention to and strengthen the research on M & A risk management.Under the framework of the existing M & A risk management theory,this paper applies the relevant knowledge,techniques and methods to conduct a risk management research on the actual case of the acquisition of KT Company by G Company.First of all,this article explains the theory and method of the M & A risk management system;Secondly,it introduces the basic situation of the acquiring company G and the target company KT,and highlights the necessity of the merger and the reasons for choosing the target company;Thirdly,using the method of due diligence and expert questionnaire to identify possible risks in mergers and acquisitions,using fuzzy analytic method to evaluate and sort the risks of mergers and acquisitions;Finally,Finally,according to the risk ranking results,developed a risk response strategies and specific measures,and establish a risk monitoring system.In this thesis,the theory of M & A risk management is applied to the case of M & A in actual operation,which formed a comprehensive and systematic analysis system.Accordingly,for this acquisition and similar mergers and acquisitions to provide decision-making reference,but also hope that the risk management research can cause more attention to the entire industry,thereby enhancing the quality and efficiency of mergers and acquisitions.
