Equity incentives have been implemented in Europe and the United States as an incentive measure for more than half a century.China began to introduce equity incentives in the 1990 s to ease principal-agent issues,attract and retain talent,and enhance corporate performance.The party played an important role.Y technology company is a domestic Internet business platform supplier.In the face of intensified industry competition and the loss of internal scientific personnel,the company has launched three phase equity incentive programs in 2011 to attract and retain high-end talent and improve company performance,but in the implementation process The lack of evaluation of the implementation effect makes it difficult to find problems in the design of equity incentive schemes.It is hoped that the research in this paper will provide ideas and methods for the management of equity incentives in Y Technology Corporation.This paper adopts a combination of theoretical research and case study to analyze the current situation of the implementation of equity incentive plan of Y Technology Co.,Ltd.,and studies the comprehensive operating performance after the implementation of equity incentives through factor analysis to obtain the score of F comprehensive performance index and rank the industry.Through the event research method,the AR and CAR were used to evaluate the capital market reaction after the implementation of equity incentives.Non-financial performance was evaluated based on the changes in employee mobility and innovation ability.Through the evaluation of the implementation of the four aspects of the Y-technology company equity incentive program.On the basis of the analysis,it was found that Y Technology Co.,Ltd.'s equity incentive program has problems such as loose performance evaluation criteria,single assessment indicators,and too short incentive period.In response to these problems,an optimization proposal for the stock incentive scheme was proposed: the chain growth should be adopted in the exercise conditions.As a comparative base period,the ratio of performance indicators should be integrated between financial performance and non-financial performance;the incentive period should be appropriately extended to achieve long-term incentive effects;employee value assessment should be conducted to optimize the assessment of incentive targets,in terms of incentives.Some of the same level of standard adjustment "Basic + assessment" mode,while clearly defined in the draft conditions of the sale of shares in the equity incentiveIn order to ensure that the optimization of equity incentive plans can be fully and effectively implemented,this article also proposes a series of measures to strengthen the supervision of the design and implementation of equity incentive plans,improve the disclosure of equity incentive information,improve the corporate governance structure,and improve the external environment for the effective implementation of equity incentives.Measures to achieve a more optimal incentive effect of equity incentives,improve the management efficiency and scientific management level of equity incentives,and enhance company performance.
