The merger and acquisition model of "listed company + PE" is gradually becoming a hot spot in the capital market and has received extensive attention.The listed companies and PE institutions jointly set up M&A funds as a means of market innovation,which is conducive to stimulating market vitality and promoting the effective integration of resources.This paper mainly studies the merger and acquisition model of "listed company + PE" and the case of Sunbird M&A.First,introduce the concept,operating mechanism,and classification of the "listed company + PE" M&A model.And using the DEA analysis method to conduct a comparative study of merger and acquisition performance under different merger and acquisition models.Secondly,the two companies and the entire merger and acquisition process are introduced in detail.Then analyze the causes of mergers and acquisitions,mergers and acquisitions techniques,including synergies,and financial performance.Finally,the incident research method was used to analyze the changes in market performance and summarize the reasons for the success of mergers and acquisitions,and pointed out the existing problems.The following conclusions and implications can be drawn from the above analysis: 1.The "listed company + PE" M&A model has a positive effect on the company's technical efficiency and scale efficiency;2.The selection of the right target of mergers and acquisitions is the basis for successful mergers and acquisitions;3.The ingenious design of mergers and acquisitions is the the key to success;4.Traditional enterprises can achieve strategic transformation and performance improvement through cross-border mergers and acquisitions.
