With the rapid development of economic globalization and the increasingly fierce international competition,state-owned enterprises are facing more opportunities and challenges.How to adapt to different economic environments in the international arena and establish Chinese brands to achieve greater economic benefits has been a real problem for SOEs for a long time.Therefore,in line with the "going global" strategy,state-owned enterprises,especially large resource-based enterprises,actively integrate overseas resources through international mergers and acquisitions,thereby enhancing their competitiveness in the international market and maximizing the use of state-owned capital.It is the focus of the current state-owned enterprise reform to deepen and improve the corporate governance and property right structure at the stage of tackling the state-owned enterprise mixed reform.At the same time,the implementation of mixed ownership reform and the introduction of non-state-owned capital market vitality can stimulate the development momentum of state-owned enterprises.In this context,when state-owned enterprises respond to the tide of "going global",how to strengthen the competitiveness of state-owned enterprises through the implementation of mixed reforms in international operations is a practical problem worth exploring.Based on this,this article combines Yanzhou coal industry transnational The case of the implementation of mixed reforms in mergers and acquisitions explores the causes,economic effects and optimization suggestions of overseas mixed reforms.This article takes the case of Yanzhou Coal Mining's transnational merger and acquisition of Rio Tinto combined minerals to implement mixed reform as the research object.By combing relevant literature and theories,it constructs an analysis framework suitable for specific situations,and explores its motivations,options and economic effects for implementing mixed reforms overseas.And summarize relevant suggestions based on the analysis results.First,from the background of the research,this article proposes the main body of the thesis and its theoretical and practical significance.Second,by combing the relevant literature on mixed reform by scholars at home and abroad,and combining related theoretical foundations,this article sets the framework for the analysis of economic effectsfrom multiple perspectives.Then,according to the realistic problems facing Yanzhou Coal Industry,analyze the reasons for its overseas mergers and acquisitions and implementation of mixed reforms,evaluate its feasibility by analyzing the path of overseas mixed reforms,and apply an analytical framework to evaluate Yanzhou Coal's current M & A assets as The economic effects brought about by the implementation of mixed reforms;finally,based on the results of the previous analysis,relevant conclusions are drawn,with a view to giving similar thinking to international operating companies with inspiring thinking,so as to draw out relevant suggestions for mixed reforms of state-owned enterprises.Through the research in this article,explore the causes and economic effects of cross-border mergers and acquisitions of resource state-owned enterprises and implement mixed reforms,reveal potential risks,and propose corresponding optimization suggestions based on the previous analysis,aiming to enrich China's state-owned enterprises,especially large-scale resource state-owned enterprises,to implement reforms overseas.The practical experience in work provides a certain theoretical reference for mixed ownership reform and cross-border mergers and acquisitions.
