Some state-owned enterprises in our country have already tentatively establisheda set of corporate governance structure system through over10years' transformationand development. However, because of the relationship between the reformedenterprises and their original government reorganizations, the present corporategovernance structure of state-owned enterprises can't reach the anticipated goal so far.Corporate governance structure is a weakness of reformed state-owned enterprises.Corporate governance is a research topic that has typically theoretical and realisticmeaning. Under the background of state-owned enterprise reformation, it supportsessential reference for the development of enterprises and the establishment ofmodern corporation systems through theoretical and practical study of theestablishment and perfection of Guangzhou Railway (Group) Company's corporategovernance.Firstly, this paper discusses domestic and international theories of corporategovernance comprehensively. Secondly, the basic situation of Guangzhou Railway(Group) Company and its industry characteristics and development trend is analyzed.This article investigates the corporate governance status and analyzes the reasons ofindependent decisions, unclear manager authority and inadequate incentives ofmanagers. And then this paper proposes a solution to promote corporate governance.Specifically, it includes the promotion of ownership structure, board operation, theestablishment of supervisor board, the selection of managers and motivation. Finally,this article discusses the implementation of the measures of corporate governancepromotion from system, human resources and corporate culture.On the basis of corporate governance theories, this article makes acomprehensive programme for the promotion of Guangzhou Railway (Group)Company governance structure. It is beneficial for Guangzhou Railway (Group)Company to establish an effective governance structure and to address the practicalissues of the governance and to build scientific and effective governance mechanisms.Meanwhile, this study can supply reference for other companies in the same industry.
