| These years,with the development of the world economy,the trend of economic globalization has been advancing and the international trade has become more and more frequently.In order to develop more smoothly,cross-border M&A between enterprises have expanded rapidly in the past few years,more and more research has been made on this study.As one big trading country,China has played an important role in the cross-border M&A,currently,many Chinese enterprises have already embark the process of cross-border M&A,taking Midea purchase Miraco,Haier,BOE,Changhong for instance,which take a leading position in achieving the globalization,and to be pioneer of cross-border M&A in China.This author mainly adopted the method of case analysis of the qualitative research method.From the perspective of the M&A between Haier and Sanyo,we conclude the background,motivation,operational process and practical lessons in this case.This paper shows that even a lot of Chinese enterprises have already embarked the process of cross-border M&A,such as TCL,Lenovo,Haier and Midea,and they also have encountered some difficulties and challenges.This paper strives to withdraw successful experience concerning cross-border M&A,which can be summarized as the following four points:1.mostly horizontal M&A;2.with similar cultural background,and same consumption habits;3.suitable enterprise scale;4.business scope is not with sensitive field.This paper also present the suggestions to resolve the challenge and risks,the suggestions include:1.implement a reasonable cross-border M&A plan;2.improve the awareness of risk prevention;3.strengthen the integration of post-merger management and corporate culture;4.cultivate the international talents;5.develop the capital market;6.improve the competitiveness of enterprises.In sum,this paper aims to providing further practical solutions concerning cross-border M&A for China enterprises. |
