| Shanghai Chaori solar technology co.,LTD.,in March 2012 public debt,then,our policy for new energy industry is further done adjust,increase subsidies for new energy industry has decreased,and the new energy industry,there is relatively serious problem of excess production capacity for ultra,the company mainly rely on exports,the impact is more serious,and affected by these factors,lead to enterprise serious loss problems,loss of $1.7 billion.Finally,the enterprise because of insolvency and choose bankruptcy reorganization.After the reorganization,Chaori has improved its business performance,profitability and financial situation.However,new problems have emerged after the reorganization.If these problems cannot be effectively solved,they will seriously affect the long-term and stable development of the enterprise in the future.This paper adopts the research method of theoretical analysis,analyzes the research background and significance of asset restructuring,and makes a comprehensive analysis of the research on asset restructuring of listed companies at home and abroad.With the method of case study,the case of Jiangsu GCL reorganization Chaori is analyzed in detail.To be specific,first of all,this paper introduces the basic situation of the parties involved in the reorganization.Combining with the actual situation of the company before the reorganization,the motivation of the case company’s reorganization is analyzed,and the specific results obtained after the reorganization are discussed.Then,it analyzes the specific problems of the company after the reorganization,as long as the board of directors’ supervision function is empty,the manager’s qualification is difficult to unify,Chaori company’s asset management risk is increased,the conflict of interest is intensified,the company’s profit is affected to a certain extent,and the problems in human resources integration are prominent.Then in view of the company are faced with the problem should be put forward by further strengthening the supervision function of the board of directors,strengthen enterprise personnel to participate in the management of the original debts of access control,attach importance to human resource management and construction work,improve the governance structure,strengthen the comprehensive competitiveness and profitability,the corresponding countermeasures,in order to ensure that can achieve high quality development after the corporate restructuring. |
