In recent years,the mergers and acquisitions actions in the volume and transactions are showing rapid growth trend in the market,especially in the TMT industry,M & A are becoming a hot topic in the current market.But why the companies in TMT industry are keen on mergers and acquisitions,rather than through self built team or external cooperation to achieve the maximum value of the enterprise.Under the existing M & A theory,there are no relevant theory can answer this question.In this paper,we will use the transaction cost theory and the DCF model to answer why merger and acquisition is an effective way to achieve the rapid development and maintain the competitiveness in the industry for TMT enterprises.Of course,this is mean that the TMT enterprise as long as though M & A that can achieve the fundamental goal of the enterprise.In this paper,we introduce the case that Hualu Baina company acquire the Blue Flame company firstly,then we will analyze the macro,industry and company background before acquisition,review the acquisition process and the deal structure,which including M & A motivation,M & A targets,M & A trading scheme,integration of M & A etc.,We want to make the features of the TMT industry mergers and acquisitions that provide the guidance of theory and practice for TMT company in mergers and acquisitions in the future.
