Compared with the mainboard listed company,the New Third Board has simpler audit demand for listing company and weaker in financing capacity.In the background of limitation of negotiability and financial capacity,the New Third Board listed company has occurred irregularities cause of lacking internal control management,which causes the lack of investor confidence and more difficult financing environment.Shunyunshan Culture Company is a new third-board company with innovative technology that produces and sells books for infants and young children,which owning its own R & D and editing team,a long industrial chain,and being in a transition period of products and sales.With the new media competition and the continuous expansion of the e-commerce market share,The problems of the internal control system has gradually become apparent,and the production and operation are in distress,which is a representative case among NEEQ(National Equities Exchange and Quotations)listed companies.Optimizing the internal control system of the enterprise to improve the company's operating ability,the Shunyunshan culture company would realize the transformation from the new third board foundation to the innovation layer.This article takes the New Third Board enterprise Shunyunshan Cultural Company as the research object,adopts the literature method,the comparison method,and the case analysis method combined with the experience summary,based on stakeholder theory and financial risk management related theory,combined with the New Third Board's internal control requirements for listed companies,To study the current status of the internal control system of Shunyunshan Culture Company,the internal control status is described through collecting raw data and field monitoring.According to the merged framework of the 2013 COSO internal control management framework and the 2017 COSO risk management framework,this study explores the optimal countermeasures for the internal control system of the New Third Board listed company.According to the above research,there are some common problems in the New Third Board listed company,such as too concentrated stock rights,no division of powers and responsibilities,weak risk identification ability,lack of internal audit department,etc.The internal control defects of the Shunyunshan Culture Company are manifested in the low participation of centralized management in the operation of the enterprise,no full-time internal control department,the management style of high-risk preference,and lower maturity of actual risk management.The main causes of internal control defects incluse: power-oriented enterprise culture,incomplete enterprise risk identification and evaluation process,lower efficiency of enterprise performance management,unsmooth channels of information communication,incomplete internal supervision mechanism.Based on the new integrated framework,the optimization countermeasures of enterprise internal control are proposed,which are including: environmental control,risk assessment,control activity performance,information communication technology and monitoring mechanism design.This study provides a reference for the construction and optimization of the internal control system of the New Third Board listed company represented by Shunyunshan Culture Company,which being helpful for such enterprises to improve their internal control efficiency and risk management capability.
