Corporate governance is a hot topic in the field of corporate law,and many scholars have conducted in-depth research,but some of the problems have not yet been effectively resolved.The company's supervision mechanism as an important part of corporate governance,an effective supervision,will promote the improvement of corporate governance structure.This paper chooses the research method of supervisors mechanism as the starting point,through the comparative research method,the Chinese and Japanese "company law" to carry out the first research in the recognition of the two supervisors system on the basis of a number of differences,to analyze the differences Reason,may lead to how to solve the problem of Chinese legal reasons,and then from the Japanese law to find a place to learn,then,this is also a meaningful research results.To discuss whether it should be a comprehensive system to receive,not as good as the real differences in depth analysis.The main reason for the comparative study of the supervisory system between China and Japan is that the corporate governance structure of our country is the closest to the Japanese company model,and the formulation of our company law has absorbed a lot of Japanese law experience.It is the theoretical basis for the comparative study of the supervisory system of the Chinese and Japanese supervisors and the reference to the reform system of the Japanese company's legislation,which will provide the relevant theoretical basis for the perfection of the supervisory system of Chinese enterprises.The full text have four chapters.The first chapter introduces the basic situation of the supervisory mechanism in the Sino-Japanese company system and its comparison,compares the basic situation of the supervisors of the two countries in setting up the relationship with the relevant organs in the corporate organization system;the second chapter introduces the qualifications of the supervisors in China and Japan;Chapter 2 is a comparison of the responsibilities and motivations of supervisors in China and Japan.Chapter 4 is a comparison between the functions and responsibilities of supervisors in China and Japan.Finally,the conclusion,in the previous comparison of Sino-Japanese supervisors system on the basis of similarities and differences put forward their own recommendations.This paper discusses the similarities and differences between the supervisors of the two countries and the reasons for the analysis of similarities and differences,and provides some references for the discussion and development.
