Research On Establishing Classified Stock System Of The Company Law In China

The class stock system is a legal system that includess the rights carried by class shares regarded as the core part and synthesizes various supporting mechanisms.The purpose of establishing the class stock system is not only to categorize shares,but to protect these different categories of rights based on classified shares.The article tries to construct our category system by comparing and analyzing the legislative practice in developed countries in the field of constructing category stock system in combination with the relevant legislation and practice of our country.In the first chapter,it summarizes the relevant contents of the category share system,including the related meanings of the category share system,and the classification of the types according to the different rights of the class shares.Meanwhile,the category share system is the concrete embodiment of the autonomy principle of the private law and the deep development of the principle of equity.The second chapter introduces the legislative practice of the representative class stock system between the continental law system and the common law system.It also provides a comparative analysis and summary of the two main legal systems,citing reference for the construction of class stock system in China.The third chapter summarizes the status of the current development of our class share system from two aspects of legislation and practice,and analyses the existing problems in the legislative norms,the exercise of the voting rights of the category shares and theprotection of the creditors in our country,providing some pertinent suggestions for the construction of the class share system in our country.The fourth chapter is the construction of our country's class stock system on the basis of the aforementioned chapters,from choosing the suitable legislative mode,the concrete perfection of the category shares and the establishment of the protection system of category shareholders,and put forward some suggestions for the construction of the class share system in our country.
