A Study On The Zigong Salt Industry Partnership System From Qing Dynasty To The Republic Of China

The "Salt Well Protocol" is an abbreviation of the Salt Industry Well Rules(Factory Rules)and the Salt Industry Well convention,which was applied,from the Qing Dynasty to the Republic of China,in running and managing the salt industry in Zigong,Si Chuan Province by its co-partnership.It functioned in a salt well contract,which was aimed at resolving the salt industry partnership disputes,and standardizing rules of the industry such as joining,transferring,and leaving,and related rights and obligations.First of all,this paper mainly focuses on the "Salt Well Protocol" and the salt industr y contract related to it,and analyzes the relevant data in a comprehensive manner according to the collected materials.Secondly,this paper is targeted for the origin of the “Salt Well Protocol”(the Rules and the Convention),and the interpretation of the relevant terminologies in the salt industry.After that,the author,from the perspective of law,classifies the “Salt Well Protocol” embodied in the salt industry document literature and the salt industry contract.The qualitative analysis of the “Salt Well Protocol” will be greatly emphasized and analyzed for better conforming its nature and improving such as a kind of research method.Furthermore,through comparing “Salt Well Protocol” with relevant laws,regulations,and systems of China's Civil Commercial Law,the author refines some useful suggestions and views on the current legal system of China,so as to give an improvement and supplement both in the theory and practice.The paper includes five parts.In the first part,the author will introduce the general situation of the “Salt Well Protocol”,including its origin nature and function.Qualitative questions of the Protocol is stressed and discussed to further confirm its nature.In the second part,the author will find out the norm and specification of the salt industry partnership from the “Salt Well Protocol” and relevant contracts.The author will introduce from following respects including partnership contribution,rights and obligations,profit and share allocation.Besides,the author will compare it with the relevant provisions of the current partnership enterprise law.In the third part,the author mainly gets a word about the rules of the salt industry transfer from the “Salt Well Protocol”,analyzed its conditions,rights and obligations,and will start a comparative study in a accordance norm of withdrawal and disassociation in the salt industry from the“Salt Well Protocol”,and compares it from the conditions and rights and obligations with modern ones;the fifth part mainly discusses the current value of the research of“Salt Well Protocol”.Finally,a conclusion will be made from three points: the value for studying the history of China's Enterprise Law;the significance for making sure the dormant partnership in china;the function for perfecting the share transfer system in China's current partnership enterprise law.
