While Chinese enterprises are more and more keen on cross-border mergers and acquisitions,the legal risks encountered in the process of merger and acquisition are also increasing,and the risk of antitrust review is an important part of these legal risks.The differences between different countries' anti-monopoly laws lead to different types of risks.In recent years,more and more private enterprises to participate in global crossborder mergers and acquisitions,while the increase in the number and amount of cross-border mergers and acquisitions The Belt and Road along the country have.Therefore,it is conducive to the healthy development of cross-border M & A activities in China and the implementation of the structural reform of the supply side in China.This paper studies the anti-trust risks in cross-border mergers and acquisitions of Chinese enterprises from the following aspects:The first part will analyze the basic concepts of cross-border mergers and acquisitions and review the history and current situation of crossborder mergers and acquisitions,in order to analyze the characteristics and trends of cross-border mergers and acquisitions.After that,we will analyze the motivation of Chinese enterprises' participation in cross-border mergers and acquisitions,and the value and impact of cross-border mergers and acquisitions.The second part,by introducing the connotation of anti-monopoly legal risks in cross-border mergers and acquisitions,focuses on the causes of antitrust risks in cross-border mergers and acquisitions.The two aspects of internal causes and external causes are discussed in detail.The third part expounds the differences between the domestic antitrust review and the European Union and the United States antitrust review through the analysis of the key field of review in cross-border mergers and acquisitions,and then introduces the experience of domestic and foreign enterprises in dealing with this kind of review.The fourth part,combined with the emphasis of antitrust review in cross-border mergers and acquisitions,puts forward various anti-monopoly risk prevention and control mechanisms in cross-border mergers and acquisitions of Chinese enterprises.
