Research Of Listed Company Governance Based On Human Capital In Knowledge-economy

In the past decades,the status of human capital has changed a lot in the development of enterprise,which has greatly improved,and even has changed the situation of “capital wage labor” in the past.The corporate governance is the arrangement of investors' interests and a corporate governance system that is based on shareholders.Obviously,the human capital has no place in corporate governance.This kind of corporate governance system is no longer in line with the market economy.It is necessary to liberalize the principle of “Shareholder standard" and allow flexible corporate governance system construction to meet the requirements of human capital owners for corporate governance.We should adjust the position of various stakeholders in corporate governance,change the rules of capital as the sole discourse power of corporate governance,and gradually increase the role of human capital in corporate governance.As for the specific implementation,we will hand over the decision to the market,which will be determined by the corporate governance entity within the legal framework.In the process of implementation,special attention should be paid to the protection of shareholders' interests and necessary preventive and corrective mechanisms should be established.
