Study On Legal Remedy System Of Corporate Deadlock

Corporate deadlock is caused by the conflicts between shareholders,directors and directors,and shareholders and directors.The conflicts of interests between them develop to an irreconcilable degree,leading to corporate deadlock.As the shareholders' meeting and the board of directors cannot be effectively convened,neither party's proposal can be accepted,the company cannot make effective decisions according to the daily management rules,the company cannot operate normally,and the company's affairs are in a state of paralysis.Corporate deadlock has an impact on the company,its shareholders,its related creditors and even the entire socio-economic interest.Corporate deadlock will directly damage the personal interests of shareholders and the overall interests of the company,and fundamentally disintegrate the corporate interests thereof.At the same time,corporate deadlock will also affect the socialist market economy,which is not conducive to maintaining the harmonious and normal social and economic order.Based on the legal remedy of corporate deadlock,this thesis introduces and analyzes the case.This thesis compares the legal remedy system of corporate deadlocks in various countries,analyzes the legal remedy system of corporate deadlocks in China,and puts forward some views for the settlement thereof.This thesis is divided into three parts:Part One introduces the case dissolution of the plaintiff Jilin Huiguan Investment Co.,Ltd.v.Changchun Northeast Asia Logistics Co.,Ltd.,and puts forward legal thinking on corporate deadlock.Part Two,based on the case in this thesis,elaborates the basic concept of corporate deadlock,and combines with the case herein to analyze the legal recognition of corporate deadlock in China,deeply studies and analyzes the basic characteristics of corporate deadlock and the principle of legal remedy for it.Part Three,based on the case in this thesis,elaborates the corporate dissolution and liquidation system of China's company law combined with the case herein,and introduces the legal remedy of other related corporate deadlock based on the legal system at home and abroad and the research of scholars.
