Research On The Protection Of The Rights And Interests Of The Investors In Our Country

Equity crowdfunding is the crystallization of financial products and Internet after three-party payment and Peer-to-peer.Mainly the enterprise through the Internet platform,for the public investors to promote their enterprise project information,so as to obtain the financial support of investors,and in order to sell the form of corporate equity,to repay the capital of the new financing method.The full use of the Internet,the investment and financing will be a simple and effective connection,expand the small and medium-sized,start-up enterprises financing channels,change the corporate capital shortage,private funds idle situation.Investors are the basis of the capital market,and only the protection of investors ' rights and interests in the first place,can promote the long-term orderly development of the stock market.However,the development of China's stock right faces the following problems: firstly,in the framework of China's law,the stock-raising lacks the system norms which can be used as the basis of law,and conflicts with the existing securities law and company law of our country.Secondly,the content of public investors ' rights is ambiguous and difficult to prescribe.Third,the regulatory body is unclear,and lack of supporting regulatory rules.Finally,the access standards of financiers and stock-raising platforms are not uniform,and the rights and obligations are not clear,which increases the difficulty of supervision.These problemsresult in the investors ' right to gain,the right to know,the right to regret and the right to supervise.In brief,this article mainly from the following parts of the protection of China's equity investors to raise equity research: The first part,mainly to the stock,investors rights content,equity public financing process involved in the legal relationship to make an overview;the second part,mainly introduced the relevant economic theory to the role of investors;the third part,By studying the current situation of stock market development in China,this paper analyzes the existing problems in the protection of investors ' rights and interests;the forth part,combing the system of the rights and interests protection of investors in the stock-raising,finds that some system can be popularized in China;Last part,this paper puts forward some countermeasures to improve the protection of investors in China's stock market: To solve the fundamental problems,to make clear the provisions of the Securities law related to the stock-raising,and to promulgate the relevant supervision rules,to clarify the rights and obligations of the legal subjects,and to divide the standard for the qualification of financiers,Investors are an important part of the capital market,we should combine legislation and supervision,so that investors ' right to know,to gain,to regret,and to supervise rights are protected by law.
