Research On Current Business Registration System In Vietnam

The 6th National Congress Party of the Communist Party of Vietnam(November 1986)has set out a comprehensive reform policy,the focus of innovation is the economy to conduct industrialization and modernization of the country.With that policy,the economy of Viet Nam has changed from the centralized management mechanism of subsidized bureaucracy to a market economy with the diversity of economic components and business activities,contribute strongly to the liberation of the market,increase the business autonomy of citizens.After more than 30 years of renovation,Vietnam's economy has taken a long step on the path of integration and development in all fields.In order to achieve these achievements,the the Communist Party of Vietnam and State have a lot of policies and guidelines to create new conditions and attract subjects to participate in business activities.Business entities entering the market must register their business.Because business registration is a legal procedure of"birth and recognition"of the birth of business entities.Therefore,any business entity that having full of the conditions prescribed by law to conduct production and business activities can register with a competent state agency.Through business registration,the subject will be granted"business registration form".However,to match the process of international economic integration,the process of business registration reform has been innovated.The State of Vietnam has officially agreed on the process:business registration with tax registration,applying a unique identification code for the business.Therefore,the term"business registration"is replaced by the term"enterprise registration form".The State unifies the management of business registration activities in order to implement the responsibility of managing,inspecting and supervising business entities from the establishment,establishing recognition and protection of individuals and organizations in the economy,removing from the market those who are not eligible for business.Since then,it aims to protect consumers'interests,the common interests of the whole society and other business entities.Therefore,business registration is one of the stages of the establishment of enterprises,helping enterprises obtain legal status in the market not only to satisfy the provisions of the Enterprise Law but also claim ask businesses to meet the provisions of specialized laws.With these criteria,the activity of" Enterprise registration"in the full meaning:is to allow enterprises to operate in the marketplace,in addition to registering to be granted an post-check enterprises want to operate must meet the"post-check " of Investment Law and specialized laws on conditional business lines.Business registration activities are developed in accordance with the reality through the provisions of the Enterprise Law in 1999,2005,and 2014 along with the documents guiding the implementation...The law on business registration has created an environment to attract all investment resources and maintain the management and supervision of enterprises.The State protects and creates favorable conditions for enterprises to conduct business acts from establishment registration,production and business activities,and when enterprises withdraw from the market,and always pay attention to developing the law on enterprise registration to fully regulate the types of businesses that have a legal basis at the time of operation to ensure full rights and benefits.In addition,business registration is one of the ways to implement business freedom to promote business entities to participate in"a common playground".However,from the provisions of the law to the practical implementation of the application,there are still many shortcomings,contradictions,not yet unified,causing difficulties for enterprises in the implementation process,registration agencies difficult to track business requires more reasonable,more realistic,high performance...to be consistent with the reality such as:legal regulations on merger,suspension,transformation,consolidating businesses,traders and persons when having business needs but do not want to register business,or legal consequences for members when participating in setting up company name,company brand...this requires research and explanation both in theory and practice.Stemming from the above requirements together with the enthusiastic advice of the instructors,I have chosen the topic:"Law on business registration for businesses in Vietnam"to study and complete my master thesis.At the same time,the thesis also aims to learn,study,compare and analyze the scientific and practical arguments and arguments prescribed by the law on business registration in order to make recommendations,suitable finishing directions.
