Research On The Legal Relief Of Shareholder Oppression In Limited Liability Companies

Combined with the foreign research on the standard of shareholder oppression,this paper explores the seriousness of the problem of shareholder oppression under the characteristics of China's limited companies and the lack of relevant research.Through judicial justice instance of oppression of shareholders,such as the typical phenomenon,this article through the phenomenon that the cause of oppression of shareholders phenomenon such as capital majority,judicial conservatism in China,and combined with our existing law relief measures to explore the deficiencies,such as "the overall legal concept deviation","lack of oppression of shareholders to define the standard”,a minority shareholder protection extent" and so on.Finally,this paper focuses on the details and studies the specific foreign legal relief measures under the oppression of shareholders,hoping to "cut the local jade with other stones".Through the understanding and research of foreign legal systems,we can learn from each other and make up for our shortcomings.Combined with the foreign advanced experience and theory on the shareholder oppression of limited liability companies,especially the current situation of the relief of shareholder oppression in the United States and Germany,this paper obtains enlightenment,and puts forward relevant Suggestions for the improvement of the current legal relief in China.
