The Research On The Act Requirements Of Disgorgement Of Short-swing Profits

The legislation of the act requirement of short-swing trading system is crude which leads to disputes of applications.With the development of our economy and securities markets,the atypical tranctions have become increasingly active which aggravate the disputes.The article aims to solve the confusion of the issue.Teleological interpretation is the major research method.Firstly the article explores legislative goals of short-swing trading system which lacks related intensive study.On the basis of the research results of the legislative goals,the atypical transactions are divided into several kinds and analysed by teleological interpretation.It's suggested that atypical transactions should be analysed by one kind to exploit possibility of abuse on inside information.If the possibility of the kind is tiny,the tranction of this kind of atypical transactions don't satisfy the act requirement of short-swing trading system.
