Comparing with the agreement with bilateral,tender offer was regard as a fully marketed way of acquisition.Rongsheng Heavy Industry Co.,Ltd.case in one of the most classical tender offer cases which worth a due analysis.The long duration,great influence,and shareholders suffered great loss.The thesis attempts to cut into the Angle of the case and along with some other influential cases in tender offer,by using the empirical method to discuss the problem of the system in practice.The first chapter of the thesis reports Property transaction contracts which triggered mandatory tender bid obligation and following two litigation trials.Some other influential landmark cases are collected to illustrate the tender offer problems.The second chapter is the core of the thesis,which analyzed the following weakness in negotiation period disclosure,the time the offer take effect,the offer withdraws,the deposit.Those are barriers that impede tender offer's initial attempt.The third chapter discussed origin of tender offer theory outside.It was born in the U.K.and derived in the U.S.China derived from Hong Kong where the law learns from the U.K.With the comparison with those typical types,we hope to know whether it is suitable to take a reference.The forth part synthesize all topics mentioned above and try to provide suggestions centering the mandatory tender bid,time the tender offer take effect,hoping to conclude what I understand till now.There was no sufficient utilization of tender offer,however,with the revolution of control in nation-owned companies,more and more takeover bid cases waste the resource,the time,and injured the minority shareholder,which dose not comply with the improvement of the market in our country.
