The Research On The Events Causing Expulsion Of Shareholders Of The Limited Liability Company

As provided in Article 17 of Provisions of the Supreme People's Court on Certain Issues Concerning the Application of the "Company Law of the People's Republic of China"(?)(hereinafter referred to as “Company Law Interpretation(?)”),the system of Expulsion of Shareholders has become a new focus in the legislation field of China.For the purpose of tackling the conflicts among the shareholders of the limited liability company and maintaining the interests of the company,a comprehensive study on the events causing Expulsion of Shareholders shall be deemed as an integral part for the application of the system of Expulsion of Shareholders accordingly.This paper is to interpret certain conceptions firstly,and then,on the basis of three main theories,analyze the current PRC rules regarding the events causing Expulsion of Shareholders of the limited liability company by reference to the legal practice in China and the legislation in other jurisdictions respectively.To follow,on the ground of the aforesaid findings and analyses,the perfection of the current rules as well as the match of the relevant systems is to be sought,the newly-designed rules concerning the events causing Expulsion of Shareholders of the limited liability company is suggested to be provided in the Company Law and the further coordination of the legislation and the personalized autonomy of the company is to be recommended.
