The structured asset management plan is to distinguish between priority and inferior asset management plans.Its legal structure includes a variety of coexi sting legal relationships such as legal relationships of financing and lending,le gal relationships of entrustment,and legal relationships of concession and guara ntee.Defining it and analyzing the legal structure is a necessary prerequisite st ep to rationalize the legal logic and stabilize financial supervision measures,an d it is also a question that must be answered under the separated business mo del in China.The analysis of its functions for hostile takeovers can distinguish positive f unctions from negative functions from the perspectives of acquirer,regulator an d financial system.This kind of functional analysis is a two-sided problem,tha t is,the same function will produce completely different evaluation results for different subjects.The structured asset management plan helps malicious acquir ers to circumvent the obligation to raise their licenses and increase leverage to fund,but it exposes the vacuum problem of China's divisional supervision,whi ch is likely to cause financial systemic risks and is also very risky for the acq uirers themselves Financing behavior.Legal regulations on the contractual arrangements,uses,and performance of structured asset management plans in accordance with current laws and financia l supervision measures are necessary steps to prevent abnormal fluctuations in t he secondary stock market and to ensure that the risks of bank wealth manage ment funds are matched with their affordability.Important measures to regulate market behavior of investors and target companies.Based on the evaluation of Vanke's anti-acquisition measures,it provides tar get companies with legal and efficient legal responses to malicious acquisitions using a structured asset management plan.Rethink the inadequate supply of ant i-acquisition rules in China's legislation and the establishment of a divisional s upervision coordination mechanism under the current state of mixed operations.
