Research On The Legal Regulation Of The Disposal Of Corporate Bonds Breach

In the past five years,corporate bond defaults have been rising year by year in China,showing a trend of centralized outbreak,making it urgent to establish a market-based and legalized corporate bond default disposal model.And in the aspect of law in our country has not yet formed perfect unification of legal regulation system of corporate bonds,corporate bonds default disposal practice there are still problems,such as bondholders conference nominally,bond trustee unclear legal status,etc.,so that when the corporate-bond defaults bondholders claims difficult,principal and interest recovery effect is not ideal.In 2019,corporate bond defaults are not real improvement,but to an all-time high,compared with 158 in corporate bond defaults,involves the amount up to 121.699 billion yuan,therefore,in the bond market in corporate bond defaults there is an upward trend in the number and amount,urgent need to build a scientific and effective system of corporate bond default path of disposal.Based on this,this paper chooses the legal regulation of corporate bond default disposal to conduct in-depth discussion.This article is divided into five chapters,the first chapter summary of corporate bonds default problem,first of all,this paper introduces the basic situation of bond market in China has been clear about the definition of the connotation of corporate bonds and corporate bonds default,defines the research scope of this article and the research object,and combing the current status of China's corporate bond market default,and the necessity of regulating corporate bond default disposal,in order to more clear understanding of the corporate bonds default problem in our country bond market practice in the real situation and the urgent need to solve problems;Based on this,the second chapter analyzes the legal problems of corporate bond default disposal,analyzes the main legal problems existing in the current corporate bond default disposal path in China from the legal regulation status and practice,so as to put forward targeted Suggestions for improvement.Then,in the third chapter corporate bond default disposal theoretical exploration,from the point of view of theoretical analysis of the nature of the corporate bond,bond holders to protect the particularity of the differences of default and corporate bond default than ordinary contract,the analysis of the corporate bonds to the uniqueness of liability for breach of contract,to perfect the corporate bond default disposal of legal regulation to provide theoretical basis and guidancedirection.Finally,in chapter 4 corporate bond defaults in the disposal of the perfection of legal regulation,the default status of corporate bonds,corporate bonds default disposal of legal regulation disposal present situation has carried on the detailed analysis,the present situation and the practice of related theoretical issues on the basis of comprehensive analysis,this paper based on the bond market in our country's reality,defaults on corporate debt disposal law regulating the improvement of the existing problems put forward the corresponding suggestion,such as the construction of a unified legal regulation system of corporate bonds,and improve the mechanism of investor protection,strengthening corporate bond credit guarantee measures,etc.
