Research On The System Of Business Partner In China

The structure makes the dual ownership system become the content of the adjustment of the Company Law of our country.Since Alibaba,Millet,Vanke,Jingdong,Huawei,Haier,Baidu and other well-known companies have broken through the same-share and equal-right stereotype one after another,domestic academic circles have launched heated discussions on the equity-based concept,shareholder priority,equal-share and dual-share issues involved in the business partnership system.Most scholars believe that in order to meet the needs of high-tech enterprises for talents,China should amend the legislation as soon as possible,improve the statutory corporate governance structure,and break through the stereotype of the same share and the same power.However,most of the relevant studies are concentrated in the field of economics and management,while the relevant studies in the field of law are relatively weak.This paper,from the perspective of business partner,sorts out the meaning of dual share system and its development in China.The paper is mainly composed of four parts.The first part takes the meaning of dual share as the starting point to systematically explain the dual share structure system.The second part focuses on the enterprise partnership system of emerging technology-intensive enterprises represented by vanke,and expounds the necessity of introducing the system in China by analyzing the advantages of the system.The third part,from the objective and neutral point of view,systematically expounds the potential problems that may be encountered in the implementation of dual share system in China at the present stage,so as to prepare for a rainy day.The fourth part focuses on the enlightenment of dual share structure to the development of China's market economy,based on the present,looking forward to the future,and makes a beneficial attempt on how to improve the relevant laws and regulations.
