Since the reform and opening up,China's education system has further accelerated the pace of reform.In order to comprehensively improve the quality of higher education,improve related supporting facilities and accelerate the transformation of scientific and technological achievements,colleges and universities across the country have begun to combine their own actual conditions,setting off an upsurge of establishing enterprises,and achieved remarkable results.But at the same time of the development of school-run enterprises,the related problems such as unclear property rights,poor risk awareness and unclear responsibilities of departments are gradually highlighted.In view of these problems,the Ministry of Education requires colleges and universities in China to set up asset companies in accordance with the law to carry out unified management of enterprises run by colleges and universities.As the parent company of an enterprise group with a special status,the university asset company plays a role in connecting the school with its subordinate subsidiaries.Due to its particularity and complexity,a complete,scientific and systematic group internal control system is urgently needed as system guarantee and guidance.However,at present,from the management of university asset companies,too little attention has been paid to the construction of group internal control system,which restricts the self-management level and self-development of university-run enterprises and becomes the bottleneck for the further development of university-run enterprises.Therefore,how to establish a scientific,reasonable and systematic internal control system within the university asset company group is worth our further in-depth exploration.This article is mainly through case analysis,based on the perspective of parent-subsidiary group company,taking J University Asset Company as the research object,through analyzing the basic situation and development status of J University Asset Company,and taking the form of questionnaires to the asset company and all school-run enterprises,it is concluded that there are still some problems within the asset company,such as unreasonable organizational structure,insufficient financial control over subordinate school-run enterprises,insufficient supervision,insufficient overall risk response ability of the group company,and obstacles in information communication,etc.These problems are ultimately caused by the lack of a complete internal control system within the group company.Therefore,according to the five elements of COSO framework,the author puts forward a concrete plan to build an internal control system suitable for J University Asset Corporation Group from the aspects of setting up a new organizational structure of the company,making scientific work flow to control risks,perfecting various internal control activities,promoting internal information disclosure,and establishing an internal audit institution,so as to improve the current development situation of the company and make the school-run group enterprises develop healthily and stably.It is hoped that it can serve as a valuable reference for the internal control system construction of other university asset companies in China.
