The Influence Of Corporate Administration Strcture Characteristists On Pubish Drawbacks

Since January 1,2011,Chinese listed companies began to enforce the five ministries and commissions such as issued by the ministry of finance of the enterprise internal control basic norms and form a complete set of guidelines,requirements since 2012 in main state-controlled listed companies to issue internal control self assessment report and internal control auditing reports issued by certified public accountants,although great progress has been made in the relevant departments of the mandatory requirements,but still exist many problems in practice.A large number of studies show that the root cause of internal control failure is lack of perfect and sound corporate governance structure.,this paper probes into its influence on internal control defect disclosure.And most of the existing literature has focused on in 2012 before the mandatory disclosure of corporate governance research on the influence factors of internal control defects,lack of 2012 mandatory disclosure of internal control evaluation report,the company governance structure influence on information disclosure of internal control defects.So this article on the basis of the research and innovation lies in:first,in the past most of the research on the influence factors of disclosure of internal control defects are combined with the national mandatory disclosure of 2012 years ago before and after the 2012 national mandatory disclosure of data are studied,and the author of the study is based on the data of listed companies under the mandatory disclosure after 2012,the science and policy of unity has some data,Secondly,the author is more comprehensive in setting the dimensions of explanatory variables,including four characteristics of corporate governance structure;Third,the author will be small and medium-sized board and gem listed companies are also included in the study of the data samples given although small and medium-sized board and gem in the process of execution system specification as well as main board listed companies strictly,however,with statements about the promulgation of the internal control system and implementation,to perfect the internal control disclosure of information signal is more and more strong,small and medium-sized plate and the gem is also in the implementation phase of the internal control system is more and more normative,so the author wants to research the whole environment of data samples.Based on the 2012-2016 data of a-share listed companies as research samples,information asymmetry theory of corporate governance structure characteristics to analyze the influence of the disclosure of internal control defects,and from the ownership structure,board characteristics,characteristics of the board of supervisors and management features to make forecasts.Research results indicate that:the first big shareholder's shareholding proportion,board size,defects were positively correlated,and the board size,independent directors and board of supervisors has a significant positive correlation.There is a significant negative correlation between the two roles of the chairman and the general manager,the shareholding ratio of management and the disclosure of internal control defects.The significance of this study was to government regulators in formulating the related internal control system specification provides empirical evidence on the enterprise level,further confirmed the direction of regulation,perfect the supervision system;The enterprise itself provides a reference for the improvement of the internal control defect disclosure behavior of listed companies,from the point to the surface,to promote the healthy and orderly development of China's capital market.
