With the prosperity and development of China's market economy,the merger and acquisition among with enterprises is becoming more common.In the mean time,the amount of anti-merger and anti-acquisition is also rising.Nonetheless,in comparison with developed countries,the lack of time in Chinese capital market development lead to deficiency in related laws and system.Albeit rich research in merger and acquisition,the study in the aspect of anti-merger and anti-acquisition is insufficient.In addition,the shortage of classic anti-merger cases.Enterprises don't have much experience to use for reference.The strife between Vanke and Baoneng beginning in 2015,on account of enormous influence,there were many scholars concerned about this strife.As a classic case of anti-merger,it has a great worthy of study.By take Vanke's case as object,based on research status,theoretical basis,development history and status of merger and anti-merger,combining with background and data of history of equity share,this paper has a detailed introduction of case's course.And also,make further efforts on analyze the cause of acquisition by Baoneng.Especially studying the effect of this strategy.In the last,conduct analysis on the influence and deficiency of this acquisition.Based on all the analyses,this paper offer proposals for Vanke's anti-merger,as well put forward countermeasures for enterprises and government.By means of research in theoretical basis,cause of merger,strategy and effect of anti-merger etc,the research result of merger and anti-merger could be improved.Hopefully,it can make up for the deficiency of theoretical study,and make a reference for anti-merger and anti-acquisition,also,for the establishment of concerned laws and system.
