Research On The Mechanisms Of Realizing Corporate Social Responsibilities

After the traditional cottage industry replaced by mass production and the modern corporations emerged,corporations,the symbol of organization,institution and culture,truly assimilate into every ordinary person's life.However,the larger as the corporations are,the negative effects caused by the negative behavior of the company will also be diffused.Compared with rentability,corporations' social service function attracts more public attention.Faced with the world created by modern corporations,people urgently need a system to awaken the corporations' sense of service to society,restrain the corporations' unethical behavior,reduce its negative externalities,and make corporate behaviors more responsive to social needs.Corporate social responsibility as a historical correction of the corporation system has become an inevitable choice.Conform to the trend of the times,our country wrote “taking social responsibility” into the company law.However,due to the lagging development,there are still many legal difficulties in the realization of corporate social responsibility,they are: conceptual barriers which influenced by the traditional legal theory,basic rules' barriers which caused by ambiguous legislative concept,realization barriers which caused by deletion of main subject.This paper focuses on the lack of the main subject of the realization of corporation social responsibility,narrowing the range of the discussion to the most representative category,directors.Based on the analysis of the role of the directors in the realization of corporation social responsibility,we can find an appropriate direction for the correction of director system.And this way can also be used on other company managers.The paper has been divided into four parts.The first part of this paper,combined with some realistic cases,presents the current social demand of social responsibility,and explains the concept of corporation social responsibility.Analyze the current legal difficulties in the realization of social responsibility in our country,especially put forward the factor of the deletion of main subject.The second part discusses the inner connection between the director system and the realization of corporation social responsibility.The third part summarized the related legislation of director system and corporation social responsibility,to find the missing joint of them.The fourth part based on the comparison of the practical instance both domestic and overseas,arrives at some specific ways to improve the system of directors which leads to realize corporation social responsibility.
